Terms of Service

Last updated: 2026-10-12

1. Who we are

KachiFlow ("we", "us") operates the KachiFlow workspace. "The client" means the firm or organization that has an account with us. Contact: info@kachiflow.com.

2. The service

KachiFlow is invite-only. A firm administrator creates user accounts for the people in that firm. There is no public sign-up. By signing in you accept these terms for yourself and for the client.

3. How it works

AI agents prepare drafts such as journals, reconciliations, emails and reports. Deterministic checks verify the numbers. A person approves anything that is posted, sent or filed, and nothing is posted, sent or filed without that approval.

The client remains responsible for its books and records, and for every decision it makes using the service, including whether to approve a draft.

4. Not professional advice or assurance

KachiFlow is software, and its output is not accounting, tax, legal or other professional advice. KachiFlow does not provide audit, review or other assurance services. Audit support means preparing schedules and documents for your auditors.

Any accounting or advisory services we provide are covered only by a separate signed engagement letter.

5. Third-party processors

We use Google Cloud for hosting and storage, and third-party AI model providers to process content. Client data may be sent to these providers so that the service can work. See the Privacy Policy for the current list of providers.

6. Account security

Multi-factor authentication is required for every user. Do not share your password or authenticator codes. Tell us at info@kachiflow.com right away if you suspect misuse of an account or have lost a device. We may reset or lock an account to protect the service.

7. Acceptable use

Do not use the service unlawfully. Do not enter data you have no right to share with us or our processors. Do not try to reach another client's data, probe or disrupt the service, reverse engineer it, or upload malicious code.

8. Client data

The client owns its data. We use it only to provide the service. When the client's use ends, we will on request make its data available for export and then delete it, subject to any law that requires us to keep records.

9. Availability

There is no uptime guarantee at this stage. We may change, maintain or suspend the service, and we do not promise it will be uninterrupted or error free.

10. Fees

Fees, if any, are set out in a written agreement with the client.

11. Limitation of liability

To the extent the law allows, we are not liable for indirect or consequential loss or lost profit. Our total liability for any claim is limited to the fees the client paid in the 12 months before the claim. Nothing in these terms limits liability that cannot be limited by law.

12. Suspension and termination

We may suspend or end access for breach of these terms, for security reasons, or for non-payment. The client may stop using the service at any time by written notice. Sections 8, 11 and 14 continue after termination.

13. Changes to these terms

We may update these terms. We will change the "Last updated" date when we do. Using the service after a change means you accept it.

14. Governing law

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. Courts in Toronto, Ontario have exclusive jurisdiction.

Nothing here removes rights you have under privacy or consumer laws that apply to you.
